Terms and conditions

1 Services and fees

i) Our property sourcing service provides clients with a professional approach to aid them to purchase a property, both in the UK and overseas. May this be on behalf of individuals, companies or funds, for investment or private occupation in residential or commercial sectors.

ii) On completion, a fee of 2% of the purchase price + VAT will be payable.

2 Terms

i) By signing this agreement, you will be appointing us to act on your behalf as buying agents until the arrangement is terminated.

ii) You will be liable for fees to us calculated as set out in clause 1 if at anytime contracts for the purchase of property are exchanged, either during the course of our engagement where the property was introduced by us, or at anytime after the period where we had introduced or negotiated on your behalf or associated company or trust in respect of the property.

3 Contract

Our agreement can be terminated by either party by giving 14 days written notice. However, you will be liable for any fees under clause 2 above.

4 Disclosure

We are obliged by law to inform you of any personal interest we may have in a property.

5 Payment of commission

You are responsible to pay our commission on the date of exchange of contracts for the property, but we may defer that payment to be made out of completion funds, by way of a disbursement. By entering into this agreement, you will instruct your solicitor to pay our fees in full from the completion monies. If any sum due is not paid within ten days after it becomes due (normally the completion of the transaction) then we reserve the right to charge interest on it at the rate of 5% above HSBC PLC base rate until the date of payment. VAT charged at the current rate.

6 Liability

a) Details of properties, floor plans etc, whether prepared by us or other parties, are provided in good faith, and we cannot be held liable for the whole or any part of such information. They do not form any part of any contract and should not be relied on as any statement or representation of fact.

b) Neither we nor any members of our staff have any authority to provide any warranty or make any representation about any properties, and you must satisfy yourself as to the accuracy of any information provided.

c) We strongly recommend you employ fully qualified solicitors and surveyors to represent you. We are happy to recommend suitable professionals if required.

7 Money laundering

The Money Laundering Regulations 2003 require us to check your identity and address and record separate evidence of each. We would therefore request that you provide us with your passport or full driver's license (photographic only) along with a recent correspondence from an official source. We can only accept a copy of a passport if it has been certified, or we have met you.

8 Law

Our terms are subject to the laws of England and Wales and the jurisdiction of the courts of England.

9 Definitions

Sophora Estates Ltd, Gregory Stephen McCormick, "We", "Us", trading as "You", "Your" or associated company. The person named or its/his/hers successor in title or assigns or person claiming through.
